As of May 19, 2006, for value received, the undersigned (“Debtor”) grants to Comerica Bank, as Agent (“Agent”), a Michigan banking corporation, a continuing security interest in the Collateral (as defined below) to secure payment when due, whether by stated maturity, demand acceleration or otherwise, of all existing and future indebtedness (“Indebtedness”) to the Agent and the Banks (as defined in the Credit Agreement more particularly described in Section 7 of Tecstar Automotive Group, Inc.
