The Company was formed as a limited liability company under and pursuant to the provisions of the Delaware Limited Liability Company Act, 6 Del. C. §§ 18-101 et seq. (the “Act”) pursuant to the filing of the Certificate of Formation of the Company filed with the Secretary of State of the State of Delaware on February 5, 2016 (as amended or amended and restated from time to time, the “Certificate of Formation”).
