THIS AGREEMENT (“Agreement”) is made effective as of the date of approval by the New York State Office of the State Comptroller’s Bureau of Contracts after execution by all parties, and is by and between the New York State Office of the State Comptroller (“OSC”), whose main office and principal place of business is 110 State Street, Albany, New York, 12236, the New York State Higher Education Services Corporation (“HESC”) whose main office and principal place of business is 99 Washington Avenue, Albany, New York 12255 (together, the “State” or “Program Administrators”) and Kutak Rock LLP (“Special Counsel”) whose office is located at 1650 Farnam Street, Omaha, Nebraska, 68102 (OSC, HESC and the Special Counsel are collectively referred to as the “Parties”).
