THIS SETTLEMENT AGREEMENT (the "Agreement"), made and entered into this day of June, 2009 by and among LEHMAN BROTHERS HOLDINGS INC., a Delaware corporation ("LBHI"), and certain other entities affiliated with LBHI, which entities are more particularly listed on Exhibit 1 attached hereto (each of the entities listed on Exhibit 1 is a “Lehman Affiliate” and are collectively referred to herein as the "Lehman Affiliates"; the Lehman Affiliates, together with LBHI, are hereinafter collectively called "Lehman"), and certain entities owned or controlled, directly or indirectly, by Mike Kojaian ("MK") and/or C. Michael Kojaian ("CMK") which entities, and not MK or CMK, are the parties to this Agreement, which entities are more particularly listed on Exhibit 2 attached hereto (each of the entities listed on Exhibit 2 is a “Kojaian Affiliate” and collectively, the "Kojaian Affiliates").
