The undersigned, NETCLASS TECHNOLOGY INC, a Cayman Islands exempted company (the “Company”), hereby confirms its agreement (this “Agreement”) with Newbridge Securities Corporation (hereinafter the “Representative”) and with the other underwriters named on Schedule A hereto for which the Representative is acting as representative (the Representative and such other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) to issue and sell to the Underwriters certain class A ordinary shares of par value of $0.00025 each of the Company (“Class A Ordinary Shares”). The offering and sale of securities contemplated by this Agreement is referred to herein as the “Offering.”
