AMENDED AND RESTATED GUARANTEE, dated as of December 28, 2015 (the “Guarantee”), by NATIXIS, a societé anonyme, acting through its New York Branch (the “Guarantor”), of certain Obligations (as hereafter defined) of Natixis, a société anonyme, acting through its Paris head office (the “Bank”) and Natixis US Medium- Term Note Program LLC, a Delaware limited liability company (together with the Bank, the “Issuers”, and each individually, the “Issuer”).
