This SETTLEMENT AGREEMENT (this “Agreement”), dated as of January , 2011 (the “Execution Date”), by and among LEHMAN BROTHERS HOLDINGS INC., a Delaware corporation (“LBHI”), LEHMAN COMMERCIAL PAPER INC., a New York corporation (“LCPI”), and SWEDBANK AB, NEW YORK BRANCH (“Swedbank”). The parties to this Agreement are sometimes referred to individually herein as a “Party” and collectively as “Parties.”
