THIS AMENDMENT AGREEMENT (this “Agreement”), dated as of November 21, 2013, is entered into by and among TELEDYNE TECHNOLOGIES INCORPORATED, a Delaware corporation (the “Borrower”), the other Loan Parties party hereto, and BANK OF AMERICA, N.A. in its capacity as the sole lender under the Existing Term Loan Agreement and the Restated Credit Agreement (in such capacity, the “Lender”), and as the administrative agent under the Restated Credit Agreement (in such capacity, the “Administrative Agent”).
