(“Agreement”) is made and entered into this 3rd day of June 2022, by and among CHPE LLC, a limited liability company organized and existing under the laws of the State of New York (“Developer”), the New York Independent System Operator, Inc., a not-for-profit corporation organized and existing under the laws of the State of New York (“NYISO”), and New York Power Authority a corporate municipal instrumentality organized and existing under the laws of the State of New York (“Connecting Transmission Owner”). Developer, the NYISO, or Connecting Transmission Owner each may be referred to as a “Party” or collectively referred to as the “Parties.”
