This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of April 1, 2008 (the “Effective Date”), between Telephone Operating Company of Vermont LLC, Corporate Trust Company (“FairPoint”), a limited liability company organized under the laws of the State of Delaware, with offices at 1209 Orange Street, Wilmington, DE 19801 and Verizon New England Inc. d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and FairPoint may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
