WHEREAS, Allianz Life Insurance Company of New York (“Company”), and OppenheimerFunds, Inc., investment adviser to certain registered, open-end investment companies that are included in the Participation Agreement referenced below (“Funds”), have previously entered into a Participation Agreement for the Panorama Series Fund, Inc.
