Wetherell and Andrew Hajducky shall be authorised to devote such working time to the business of the CMGI and its subsidiaries as each of them deems it necessary for the performance of their duties as Managing Director of the CMGI. From the date of such withdrawal, such limited partner shall be entitled to receive, subject to full payment of all the liabilities of the partnership and its direct and prospective subsidiaries, an amount determined as provided for in Section 8.7 (c) below, payable in accordance with the terms established by the limited partner pursuant to the Section 8.7 (c). At any time when a limited partner makes a capital contribution to the company, the limited partner shall contribute to the capital of the company in cash in an amount sufficient to ensure that the limited partner’s capital contribution is equal to 1% (1%) of the total capital contributions of all partners. The General Partner shall not be liable to the Partner or any other Partner for any action take
