This Escrow Agreement dated this day of , 2012 (the “Escrow Agreement”), is entered into by and among 3-P Manufacturing, Inc. (f/k/a Nex-Tech Aerospace, Inc.), a Delaware corporation (“Nex-Tech”), the City of Wichita, Kansas (the “Lender”), and Wells Fargo Bank, National Association, as escrow agent (the “Escrow Agent,” and together with Nex-Tech and the Lender, the “Parties,” and individually, a “Party”).
