This AMENDED AND RESTATED CREDIT AGREEMENT (the “Agreement”) dated as of November 12, 2013, among Whistler Mountain Resort Limited Partnership, by its general partner, Whistler Blackcomb Holdings Inc. (“Whistler LP”), and Blackcomb Skiing Enterprises Limited Partnership, by its general partner, Whistler Blackcomb Holdings Inc.
