This Nondisclosure Agreement (the "Agreement") is entered into by and for the benefit of the owner of the Property known locally as 212 S. Atlantic Blvd. Los Angeles, CA. 90022 and land parcel 5250-022-034 (collectively the “Property”) in Los Angeles, California 90022 ("Disclosing Party") and the undersigned ("Receiving Party"), for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below and the Receiving Party evaluating a possible transaction with Disclosing Party concerning the Property (the “Transaction”). The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information ("Confidential Information").
