This Purchase and Sale Agreement (this “Agreement”) is made and entered into this 18th day of December, 2012, by and between EVERFLOW EASTERN PARTNERS, L.P., a Delaware limited partnership, (“Everflow”) and certain other additional entities and individuals as further described on Exhibit D who hold title to a share of the Assets as defined in Section 1.02 below (collectively along with Everflow the “Sellers”), and HILCORP ENERGY I, L.P., a Texas limited partnership (“Buyer”). Buyer and Sellers are collectively referred to herein as the “Parties”, and are sometimes referred to individually as a “Party.”
