This MASTER SOFTWARE AND SERVICES AGREEMENT (this “Agreement”) shall be effective as of July 1, 2011(the “Effective Date”) by and between PACIOLAN, INC., a Delaware corporation, with a principal place of business at 5171 California Avenue, Suite 200, Irvine, CA 92617 (“Paciolan”) and Virginia Polytechnic Institute and State University, with a principal place of business at 1700 Pratt Drive (0214), Blacksburg, Virginia 24061 (“Customer”). This Agreement, upon the Effective Date, shall amend, restate, supersede and replace that certain Restated System Purchase Contract effective as of July 1, 2006, as amended and supplemented from time to time (“Original Agreement”), by and between Paciolan and Customer, which shall thereafter be null, void, and of no further force or effect.
