This TRADEMARK CONSENT AGREEMENT (the “Agreement”) is made by and between Vroom, Inc., a Delaware Corporation (“Vroom”) and Vroom Delivery, Inc., a Delaware Corporation (“VDI”). This Agreement is effective as of the last date signed by either Vroom or VDI (the “Effective Date”). Each of the parties will sometimes be referred to herein individually as “Party” and will sometimes collectively be referred to as the “Parties.”
