This Settlement Agreement is intended by Plaintiffs’ Counsel, on behalf of Class Plaintiffs and the Class, and Defendants to fully and finally compromise, resolve, discharge, release and settle the Plaintiffs’ Released Claims and the Defendants’ Released Claims, as defined herein, and to dismiss the Action with prejudice, subject to the terms and conditions set forth below and without any admission or concession as to the merit or lack of merit of any claim or defense by the Settling Parties.
