This Joint Development Agreement (“Agreement”) is entered into as of the _16th day of December 2019 (the “Execution Date”), by and between Ameren Transmission Company of Illinois, an Illinois corporation with offices at 1901 Chouteau Avenue, St. Louis Missouri 63103 (“ATXI”), and Wabash Valley Power Association, Inc., d/b/a Wabash Valley Power Alliance, an Indiana nonprofit corporation with offices at 6702 Intech Boulevard, Indianapolis, Indiana 46278 (“Wabash Valley”). ATXI and Wabash Valley are sometimes referred to herein as a “Party”, and collectively the “Parties”
