This Amendment No. 1 (this “Amendment”) is made this 8th day of March, 2002 (the “Effective Date”) by and between Verizo n North Inc., f/k/a GTE North Incorporated, Verizon South Inc., f/k/a GTE South Incorporated (collectively “Verizon”), a Wisconsin corporation, and Cellco Partnership d/b/a Verizon Wireless, a Delaware general partnership, successor in interest to GTE Mobilnet of Davenport Incorporated and GTE Wireless of the Midwest Incorporated f/k/a GTE Mobilnet of Indianapolis Incorporated on behalf of themselves and of the following entities: Indiana RSA #1 Limited Partnership, Illinois RSA 1 Limited Partnership, and Rockford RSA Limited Partnership (collectively “Verizon Wireless”) (each of Verizon and Verizon Wireless being individually a “Party” and, collectively, the “Parties”).
