This Settlement Agreement (“Agreement”) is made and entered into as of January , 2014 by and between Plaintiffs SIERRA CLUB and FRIENDS OF THE WEST SHORE (collectively referred to herein as “Plaintiffs”); and Defendants and Real Parties in Interest HOMEWOOD VILLAGE RESORTS, LLC, a Delaware limited liability company, and JMA VENTURES, LLC, a California limited liability company (collectively referred to herein as “HMR”). The parties hereto are the Sierra Club, Friends of the West Shore, and HMR, and may be collectively referred to as the “Parties” and individually as a “Party.”
