Owner has heretofore entered into a tax abatement agreement, dated as of , with Montgomery County, Texas, a true and correct copy of which, together with all amendments and additions thereto, is attached hereto as Attachment I and which tax abatement agreement is hereby incorporated by reference as if copied and set forth in full herein. The purpose of such tax abatement agreement is to grant tax relief to Owner with respect to certain real property, improvements to property to be acquired, constructed or maintained, and/or machinery, fixtures and/or business personal property, as provided in such tax abatement agreement.
