The undersigned, Mitsubishi UFJ Securities, as underwriter (the “Underwriter”), offers to enter into this Bond Purchase Contract (the “Bond Purchase Contract”) with the Lake Elsinore Recreation Authority (the “Authority”) and the City of Lake Elsinore (the “City”), a political subdivision of the State of California (the “State”), which, upon acceptance of this offer by the Authority and the City, will be binding upon the Authority, the City and the Underwriter. This offer made is subject to receipt by the Underwriter of the documents referred to in Section 9 hereof and to acceptance by the Authority and the City by execution and delivery of this Bond Purchase Contract to the Underwriter at or prior to [8:00 P.M.,] California time, on the date first above written, and if not so accepted will be subject to withdrawal by the Underwriter upon notice delivered to the Authority and the City at any time prior to the acceptance hereof by the Authority and the City.
