THIS AGREEMENT AND PLAN OF MERGER, dated as of May 21, 2004 (this “Agreement”), is by and among Forest Oil Corporation, a New York corporation (the “Parent”), TWOCO Acquisition Corp., a Delaware corporation and a wholly owned direct subsidiary of the Parent (“Merger Subsidiary”), and The Wiser Oil Company, a Delaware corporation (the “Company”).
