This Agreement is made and entered into by plaintiff Sharel Mawby (“Plaintiff” or “Class Representative”) , on behalf of herself and each of the Settlement Class Members (as defined below, and collectively, the “Settlement Class”), and Defendants, Milo’s Kitchen, LLC, Big Heart Pet Brands, and The J. M. Smucker Company, (collectively, “Milo’s” or “Defendants”) (collectively with Plaintiff Mawby, the “Parties”). Capitalized terms used in this Agreement are defined in Section II of this Agreement or indicated in parentheses elsewhere in this Agreement. Subject to Court approval, as required by applicable provisions of the Missouri Rules of Civil Procedure and as provided in this Agreement, the Parties stipulate and agree that, in consideration for the promises and covenants set forth in this Agreement and upon entry by the Court of a Final Judgment and Order Approving Settlement and the occurrence of the Effective Date, this Action shall be settled and compromised upon the terms and cond
