THIS AGREEMENT TO INTERCONNECT AND OPERATE NATURAL GAS PIPELINE FACILITIES ("Agreement"), is entered into and made effective this ___ day of March 2000, by and between, SOUTHERN TRANSMISSION COMPANY, a Delaware corporation, ("Southern"), and HOUSTON PIPE LINE COMPANY, a Delaware corporation, ("HPL"). (Southern and HPL are sometimes referred to individually as "Party" and collectively as "Parties").
