THIS AGREEMENT is entered into and is effective as of Insert Date (the “Effective Date”) between Acuity Brands Lighting, Inc., a Delaware corporation (“ABL”) and Insert Name of Company, a corporation/business organized under the laws of the state of Insert State or Country of Incorporation (“Company”). The parties acknowledge that ABL and Company are in discussions about a potential business relationship between them (the "Business Relationship") in connection with which certain Confidential Information (as defined below) of ABL and Company may be disclosed to the other party.
