Incorporated, as sales agent and/or principal (the “Agent”), shares of the Company’s common shares of beneficial interest, par value $0.01 per share (the “Common Shares”), having an aggregate offering price of up to $200,000,000 (the “Maximum Amount”) on the terms set forth in Section 2 of this agreement (this “Agreement”). The Common Shares sold pursuant to this Agreement shall be referred to herein as the “Stock.” The Company agrees that if it determines that the Agent will purchase any shares of Stock on a principal basis, then it will enter into a separate underwriting or similar agreement in form and substance satisfactory to both the Company and the Agent covering such purchase.
