__________ (hereinafter sometimes called the “Representative”) acting on behalf of itself and as representative of __________ and __________ (each an “Underwriter,” and hereinafter collectively referred to as the “Underwriters”), offers to enter into this Purchase Contract with the Napa County Flood Protection and Watershed Improvement Authority (the “Authority”). The offer made hereby is subject to acceptance by the Authority by execution and delivery of this Purchase Contract (the “Purchase Contract”) to the Representative at or prior to 11:59 p.m., California time, on the date first above written, and if not so accepted will be subject to withdrawal by the Representative upon notice delivered to the Authority at any time prior to the acceptance hereof by the Authority. Upon acceptance of this offer by the Authority in accordance with the terms hereof, this Purchase Contract will be binding upon the Authority and upon the Underwriters.
