Clause Annotation [1] This agreement example is preferential to the Sponsor, whereas these typically favor the University, like a CRADA (a cooperative research and development agreement, which is an agreement between a government agency and a private company or university to work together on research and development.) Here, a company is paying a university or other to do research according to a Statement of Work (SOW) or research plan. The parties have to agree on how that research is conducted and who owns and controls the resulting IP, etc. Note that the researcher does not have to be a university and that it could be any other type of entity that provides contract research services. It should also be pointed out that in deals where the University, not the Sponsor, is favored, many terms would be different as the university would own the IP resulting from the research and grant only certain rights to the Sponsor.
