These GENERAL TERMS AND CONDITIONS (“Ts&Cs”) shall form part of the agreement (“Agree- ment”) concluded between Park Place Technologies GmbH, on behalf of itself and its affiliates (“Park Place” or “PPT”), and the Customer. Our deliveries, services and offers shall be made exclusively on the basis of these Ts&Cs; we shall not recognize any terms and conditions of the Customer that conflict with or deviate from our Ts&Cs unless we have ex- pressly agreed to their validity in writing. Our Ts&Cs shall also apply if we carry out the delivery or ser- vice to the Customer without reservation in the knowledge that the Customer's terms and condi- tions conflict with or deviate from our Ts&Cs. a.
