This DOWNTOWN SUPERIOR PARKS AGREEMENT (the "Agreement") is entered into this day of , 2017 (the "Effective Date"), by and between the TOWN OF SUPERIOR, a Colorado municipality with an address of 124 E. Coal Creek Drive, Superior, Colorado 80027 (the "Town"), and RC SUPERIOR, LLC, a Delaware limited liability company with an address of 11452 El Camino Real, Suite 120, San Diego, California 92130 ("Developer") (individually a "Party" and collectively the "Parties").
