THIS PURCHASE AND SALE AGREEMENT ("Agreement") is made and entered into as of the Effective Date (as defined herein), by and between FOSTER CREEK VILLAGE, LLC, a South Carolina limited liability company ("Seller"), and BERKELEY COUNTY SCHOOL DISTRICT, a body politic and corporate and a political subdivision of the State ofSouth Carolina ("Buyer"). "Effective Date" means the later ofthe following dates: (i) the date this Agreement is executed by Buyer; or (ii) the date this Agreement is executed by Seller. Buyer and Seller being collectively referred to herein as the "Parties," and each of the Parties being individually referred to herein as a "Party."
