upon becoming aware of the identity of the proposed Sub-Licensee and / or proposedDomain Name (as applicable) You shall notify Us in writing of the same. We shall have the absolute discretion to accept or reject the grant of a sub-licence by You to the proposed Sub-Licensee for the proposed Domain Name notified to Us under this clause3.4.5 and We may impose any conditions and/or restrictions that We consider reasonableon any consent to the grant of the sub-licence by You that We may give. 3.4.6 Prior to permitting or enabling the Sub-Licensee or Replacement Sub-Licensee to use the Licensed Materials:(a) You must ensure that (notwithstanding any other agreement that You may have with the Sub-Licensee and any Replacement Sub-Licensee) the Sub-Licensee and any Replacement Sub-Licensee has signed the Sub-User Direct Undertakings annexed to these Terms and Conditions and that the same have been returned to Us.
