This Registration Rights Agreement (this "Agreement") is made and entered into as of May 27, 2016, between Premier Biomedical, Inc., a Nevada corporation (the "Company"), and Redwood Management, LLC a Florida limited liability company (together with its permitted assigns, (the "Buyer").
