, 2014 (the “Effective Date”) by and between Dropbox, Inc. (the “Company”), a Delaware corporation authorized to do business in the State of Texas, with its principal place of business in San Francisco, California, and the City of Austin, a home-rule municipal corporation situated in Hays, Travis and Williamson Counties acting by and through its duly authorized City Manager or his designee (the “City”). The City is authorized by Chapter 380 of the Texas Local Government Code to create programs for the grant of public money to promote state and local economic development and to stimulate local business and commercial activity.
