This Waiver Agreement (the “Waiver”) is entered into this 30th day of October, 2013, between Sony Pictures Television Inc. (the “Company”) and ANIL KURIAN an employee of the Company (“Employee”). For the purposes of this Waiver, “Company” shall include the Company and its subsidiaries and affiliates. Reference is made to the Sony Pictures Entertainment Inc. Code of Business Conduct (the “Code”), which has been signed and delivered by Employee to the Company as a condition of Employee’s employment with the Company.
