Reference is hereby made to (i) that certain Letter of Credit Reimbursement Agreement dated as of April 1, 2018 (as amended, supplemented, restated or otherwise modified from time to time, the “Agreement”), by and between the San Francisco Municipal Transportation Agency (the “Agency”) and Sumitomo Mitsui Banking Corporation, acting through its New York Branch (the “Bank”), relating to the San Francisco Municipal Transportation Agency Commercial Paper Notes, Series A-1 (Tax-Exempt) and Series A-2 (Taxable) (the “Notes”) and (ii) the certain Irrevocable Letter of Credit dated April , 2018 (as amended, supplemented, restated or otherwise modified from time to time, the “Letter of Credit”), issued by the Bank pursuant to the Agreement, supporting the Notes. Capitalized terms not otherwise defined herein shall have the meanings set forth in the Agreement.
