THIS AGREEMENT (the “Agreement”), is made and entered into by and between SIRENZA MICRODEVICES, INC. (the “Company”) and Phillip Chuanze Liao (“Executive”), and will become effective only upon and as of the Effective Date. As used herein, the “Effective Date” means the Effective Date (as defined therein) of the merger of Premier Devices, Inc., a California corporation (“Penguin”) with and into Penguin Acquisition Corporation, a California corporation and a wholly-owned subsidiary of the Company (“Merger Sub”), pursuant to the Agreement and Plan of Merger dated February 4, 2006 by and among the Company, Merger Sub, Executive, Yeechin Liao and Penguin (the “Merger Agreement”) has occurred.
