THIS LIMITED LIABILITY COMPANY AGREEMENT (as amended from time to time, this “LLC Agreement”), dated as of January 1, 2014, of eShop LLC, a Washington limited liability company (the “Company”), is adopted by and among the persons whose signatures appear on the signature page hereof and any and all additional members who become members in accordance with this LLC Agreement (individually, each a “Member” and collectively, the “Members”) for the purposes of setting forth the governance provisions of the Company and authorizing the Company to issue membership interests permitted to be issued hereunder to Members, among other things.
