This COMMUNITY BENEFITS AGREEMENT (“Agreement”) is entered into effective as of October [ ], 2011 (the “Execution Date”) by and between CONTRA COSTA COUNTY, CALIFORNIA, a California [ ] (“County”) and GENON MARSH LANDING, LLC, a Delaware limited liability company (“Marsh Landing”). County and Marsh Landing are referred to herein individually as a “Party” and collectively as the “Parties.”
