This Agreement (“Agreement”) shall be deemed effective as of August 24, 2001 (the “Effective Date”), between DSCI Corporation (“DSCI”), a corporation organized under the laws of the Commonwealth of Massachusetts, with offices at 403 Waltham Street, Lexington, Massachusetts 02421 and Verizon New England Inc., d/b/a Verizon Rhode Island, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Rhode Island (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and DSCI may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
