This offer is made subject to the written acceptance of this Note Purchase Agreement by the County and the delivery of such acceptance to us at or prior to 5:00 P.M., Pacific time, on the date hereof, and all capitalized terms used herein and not otherwise defined shall have the meanings assigned to such terms in the Financing Certificate (as defined below).

Any authority, discretion or other power conferred upon the Underwriters by this Note Purchase Agreement may be exercised by the Representative alone.
