THIS LOAN AGREEMENT , dated May , 2022 (this “Loan Agreement ”), is by between the MISSISSIPPI DEVELOPMENT BANK, a public body corporate and politic of the State of Mississippi (the “State ”), exercising essential public functions (the “Bank”) and organized under the provisions of Sections 31-25-1 et seq., Mississippi Code of 1972, as from time to time amended (the “Bank Act”), and the CITY OF PASCAGOULA, MISSISSIPPI , a political subdivision organized and validly existing under the Constitution and laws of the State (the “City”) and a “governmental unit” within the meaning of the Bank Act.
