This Owner’s Acknowledgement and Consent Agreement (“Acknowledgement”) is made as of the day of , 2019 by and between CORPORATION OF HALDIMAND COUNTY (the “Owner”), and NATIONAL BANK OF CANADA, as administrative agent (the “Administrative Agent”) and as collateral agent (the “Collateral Agent”), pursuant to a credit agreement dated , 2019, (as amended from time to time the “Credit Agreement”) between, inter alios, GRAND RENEWABLE WIND LP, by its general partner, GRAND RENEWABLE WIND GP INC. (the “Borrower”), the Administrative Agent as administrative agent, the Collateral Agent as collateral agent, and the other financial institutions from time to time party thereto, as lenders (collectively, the “Lenders”).
