These General Terms and Conditions when incorporated by a Statement of Work, Scope, Schedule, Exhibit, Proposal or Quote (“SOW”) shall govern the services to be provided and defined in the SOW (“Services”) and constitute the full agreement (collectively the “Agreement”) between the Customer and Toppan Merrill Ltd., a company incorporated in England under company number 11464783, whose registered office is 3 St. Helen’s Place, 2nd Floor; London, EC3A 6AB, or its affiliate or subsidiary (collectively, “Toppan Merrill”) (each a “Party” and collectively “Parties”) named in the SOW. In the event of a conflict between the Terms and Conditions and any SOWs, the SOW shall govern. Toppan Merrill reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, Toppan Merrill will make reasonable efforts to provide at least thirty (30) days’ notice prior to any new terms taking effect.
