This Settlement, Release and License Agreement ("Agreement") is entered into between Melvino Technologies Limited, a corporation organized under the laws of the British Virgin Islands of Tortola ("Melvino") and ArrivalStar S.A., a corporation organized under the laws of Luxembourg ("ArrivalStar") on the one hand (together sometimes referred to as the "Patent Holders"), and a corporation organized under the laws of the State of (referred to as "Licensee") (all collectively referred to herein as the "Parties" and individually herein as “Party”).
