EXECUTION VERSION SEPARATION AND RELEASE AGREEMENT This Separation and Release Agreement (this “Agreement”) is made and entered into by and between Simon Upfill-Brown, an individual, on behalf of himself, his spouse, agents, representatives, attorneys, assigns, heirs, executors, administrators, beneficiaries and trustees (“Employee”), and Trecora Resources on behalf of itself, and its respective predecessors, successors, all former, current and future related or affiliated companies, divisions, subsidiaries, affiliates and parents, and, collectively, its former, current and future directors, officers, employees, agents, representatives, equity owners, attorneys, fiduciaries, assignees, heirs, executors, administrators, beneficiaries and trustees (collectively the “Company”).
