This exhibit sets forth the changes, in tracked format, that are being proposed to the Agreement Establishing Club 42 CM Limited Partnership, made as of December 3, 2007 and revised on March 30, 2008, as amended by the Amendment to Agreement Establishing Club 42 CM Limited Partnership, made and entered into as of June 27, 2011. That Agreement and Amendment were approved by the Commission in connection with its review of Club 42 CM Limited Partnership’s Auction 73 applications. See File Nos. 0003383865 and 0003383873, both at Exhibit D1B (filed June 9, 2008) and Exhibit D4 (filed June 29, 2011) at PDF pages 27-31. None of the proposed changes adversely affect the licensee’s eligibility for designated entity benefits because de jure and de facto control remain vested in the sole General Partner, within the meaning of the Commission’s designated entity rules; and all limited partners are insulated within the meaning of those rules.
